Delivery and Installation Terms and Conditions of FURUNO FRANCE S.A.S.

 

1. General Terms

Our sales are subject to these general terms and conditions, which take precedence over any purchase conditions or conflicting clauses appearing in the buyer’s commercial documents, unless formally and explicitly waived by us.
The submission of an order by mail or fax by the purchaser constitutes acceptance of these General Terms and Conditions of Sale and replaces any previous offers or correspondence exchanged between the parties.
The information contained in the commercial documents provided by FURUNO FRANCE is for indicative purposes only and is subject to stock availability. It may be modified by FURUNO FRANCE at any time, without prior notice, to reflect changes in technical data or economic conditions.

 

2. Formation of the Contract – Furuno France

Furuno France is bound only by the conditions expressly stated in its quotation and in the order confirmation.
The Sales Contract is concluded only on the date of written acceptance of the purchaser’s order by FURUNO FRANCE, in the form of an order confirmation or upon dispatch of the goods from our warehouses. The order is then irrevocable and cannot be modified or cancelled without the written consent of FURUNO FRANCE. The customer is not entitled to cancel or modify an order unless expressly and previously agreed by FURUNO FRANCE.
 

 

3. Commercial Compliance Declaration

All our sales are concluded subject to compliance with FURUNO Japan’s export control policy, as described in the document “2_1_TradeComplianceStatement2020_V01_01F20231019”, available on the website Furuno France tariffs page.
The buyer must ensure that each transaction carried out complies with this document.
The seller, in the absence of an explicit response from the buyer, considers that the sale is compliant with this document and shall not be held liable for any non-compliance.
However, the seller may request further clarification regarding the nature of a transaction if any doubt remains. Where applicable, the seller may unilaterally cancel the order without compensation or refund of any deposit if the required conditions are not met.

 

4. Delivery – Transport

CGV FurunoDeliveries are made progressively, depending on availability and stock levels. We make our best efforts to deliver orders within the expected timeframes; however, we do not provide any formal commitment in this regard.
Unless otherwise specified, delivery is deemed to have been completed at one of the professional sales points within the FURUNO FRANCE network. If delivery is delayed for reasons beyond our control, it shall be deemed to have been completed on the agreed date.
It is the buyer’s responsibility to make any necessary and explicit reservations on the carrier’s receipt; otherwise, FURUNO FRANCE will not be able to exercise any recourse against the carrier. Any return of goods is subject to our prior written agreement and must be carried out in the original packaging, carriage paid, to the address specified in such agreement.
Any costs incurred for repairing equipment due to damage caused by the buyer will be invoiced to the buyer.
Important: please inspect your parcel and report any issue within 24 hours.

 

5. Retention of Title by Furuno France

FURUNO FRANCE retains ownership of the goods sold until full payment has been received, without prejudice to their delivery to the purchaser, in accordance with legal provisions.
Failure to pay any of the instalments shall result in the repossession of the goods. These provisions do not prevent the transfer to the purchaser, upon delivery, of the risks of loss and deterioration of the goods sold, as well as any damage they may cause.
The purchaser must not alter or remove the identification markings on the equipment and its packaging, and authorises FURUNO FRANCE to verify these at any time within its stock.

 

6. Prices – Payment

The payment term is cash on receipt of the invoice, unless otherwise agreed, within a limit of 60 net days or 45 days end of month.
However, payment may be required upon order in certain cases.
Failure to accept payment instruments within the legal deadlines, or failure to pay at maturity a cheque or bill of exchange of which we are either the beneficiary or the drawer, shall render all our outstanding claims immediately due and payable, by operation of law and without prior formal notice. Such defaults shall result in the termination of contracts and orders and shall release us from any commitment toward defaulting purchasers.
By express agreement, and unless an extension is granted by us, failure to pay our invoices on the due date, regardless of the payment method provided, shall result in legal collection proceedings and the application, as a penalty clause, of compensation equal to 15% of the amounts due, with a minimum of €76.
In accordance with the law, late payment shall also result in the obligation to pay a fixed indemnity of €40 per unpaid invoice, as well as late payment interest at a rate equal to the European Central Bank (ECB) refinancing rate most recently applied, increased by 10 percentage points, and in any case not less than 1% per month or part of a month of delay. These charges are in addition to the re-invoicing of recovery costs, even in the absence of formal protest or formal notice.

 

7. Garantie

All FURUNO brand equipment is guaranteed for twenty-four (24) months from the date of FURUNO FRANCE invoice, unless otherwise agreed in writing or specifically stated in our price list.
All non-FURUNO equipment distributed by FURUNO France is guaranteed for twelve (12) months.
This warranty covers the cost of parts and labour in our workshops against any malfunction due to hidden defects, excluding any damage resulting from improper use, improper installation, lack of maintenance, failure to comply with the user manual, modification of the equipment by the customer, or external causes (for example, water ingress due to the chart card compartment door). These circumstances also exempt FURUNO France from any liability.
Each item, sent carriage paid (and customs cleared where applicable) to FURUNO FRANCE, must be accompanied by the repair return form (RMA) and proof of warranty.
Under the warranty, FURUNO FRANCE will replace free of charge any parts recognised as defective by its technical services, to the exclusion of any other compensation. All accessories and consumables are excluded from the warranty (microphones, power cables, antenna, transducers, batteries, as well as PA units such as “hybrid amplifiers,” magnetrons, microphones, etc.).
Due to technological developments, software modifications and updates are not covered under warranty (except by commercial decision).
After repair and refurbishment of an item, replaced parts and associated labour are guaranteed for a period of three (3) months. Your invoice serves as your warranty document; in case of a claim, a copy must be provided. 8. Liability

FURUNO FRANCE’s liability is limited to direct material damages caused to the customer, excluding immaterial or indirect damages such as operating losses, loss of profit, loss of opportunity, commercial prejudice, or loss of revenue.
FURUNO FRANCE’s civil liability, on all grounds combined, except in cases of personal injury or gross negligence, is limited to the amount of the goods supplied and paid for.
FURUNO France shall not be held liable for any of the causes excluding warranty coverage as listed above.

 

9. Rejected Quotation

Any rejected quotation (whether the equipment is returned or not) will be invoiced as follows:

€37.00 excl. VAT + return shipping costs for FURUNO products with a sales value of less than €1,000 excl. VAT (Furuno France selling price).

€74.00 excl. VAT + return shipping costs for FURUNO products with a higher value.
The return of the equipment will only take place after receipt of payment.
For non-FURUNO products that must be sent back to the manufacturer, a quotation will be provided prior to sending the equipment to FURUNO France.
Any equipment subject to a rejected quotation and for which the rejection fee has not been paid will be retained by FURUNO France for a maximum of 12 months. After this period, the equipment will be destroyed without any compensation to its owner.
Any distress beacon returned to Furuno France for after-sales service which, upon inspection, is found to have a malfunction and/or a physical defect making it unfit for use (and whose failure or malfunction could potentially endanger the user or hinder rescue operations), will be scrapped and therefore cannot be returned to its owner.

 

10. User Manual

Each piece of equipment is supplied with an operating manual or a simplified installation manual. Any additional copy will be charged.

 

11. Dispute Resolution

These general terms and conditions, as well as all sales, are governed by French law, and any disputes arising therefrom shall fall under the jurisdiction of the Commercial Court of Bordeaux (Tribunal de Commerce de Bordeaux), under whose jurisdiction the Seller’s registered office is located.
